These terms apply to all services provided by Tanit Services Ltd trading as Redbox Financial, including one-off advisory sessions, compliance services, and ongoing fractional CFO engagements. By booking, paying, or instructing us to commence work, you agree to these terms.

Our services

We provide fractional CFO, financial strategy, bookkeeping, management accounting, and related advisory services to UK businesses and individuals. Where a separate Letter of Engagement has been issued, that document governs the specific scope and fee structure agreed between us, and these terms apply alongside it.

Fees and payment

Fees are as agreed at the point of booking or as set out in your Letter of Engagement. Payment is due within 14 days of invoice date unless otherwise agreed in writing. Late payment interest accrues at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. For one-off sessions, payment is required in advance to confirm your booking.

What we need from you

You agree to provide accurate, complete, and timely information reasonably required for us to deliver our services. We are not liable for errors, omissions, or delays arising from incomplete or inaccurate information provided by you or your representatives.

Liability

Our liability to you in connection with any service is limited to the total fees paid by you for the specific engagement in which the loss arose. We are not liable for any indirect, consequential, or economic losses, including loss of profit, loss of revenue, or loss of opportunity, howsoever caused. Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

For one-off advisory sessions, our liability is limited to the fee paid for that session.

Intellectual property

All reports, models, documents, and materials produced by us remain our intellectual property until payment has been received in full. Upon full payment, you receive a licence to use those materials for your own internal business purposes. You may not resell or distribute them without our written consent.

Confidentiality

We will treat your information as confidential and will not disclose it to third parties except where required by law, our regulatory obligations, or our professional supervisory body (ICAEW). You agree to treat as confidential any proprietary methods, tools, or materials we share with you in the course of our work.

Anti-money laundering

We are supervised by ICAEW for anti-money laundering purposes under the Money Laundering Regulations 2017. We are required to verify the identity of clients and, in certain circumstances, to report suspicions to the relevant authorities. We cannot be held liable for any loss arising from compliance with these obligations.

Termination

Either party may terminate an ongoing engagement by giving 30 days written notice unless otherwise specified in a Letter of Engagement. One-off sessions are non-refundable once delivered. We reserve the right to suspend or terminate services immediately where fees remain unpaid beyond 30 days or where we have reasonable grounds to believe continued engagement would breach our regulatory obligations.

Data protection

We process your personal data in accordance with our Privacy Policy, available at redboxfinancial.com/privacy-policy-3. We are registered with the ICO under registration number CSN6362036.

Governing law

These terms are governed by the laws of England and Wales. Any dispute arising from them shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these terms from time to time. The version in force at the time services are commissioned will apply to that engagement.
